ძალიან სამწუხქაროა ბარში მცხოვრებ მრავალშვილიან მშობლებს რომ არ გვექცევა ყურადღება,სოციალურის 100000 ქულის არქონა არ ნიშნავს,რომ ჩვენ ყველაფერი კარგად გვაქვს და ხელის წახმარება არ გვჭირდება.ხომ შეიძლება ასეთ დასაქმებულ მშობელს მაინც ჰქონდეს გადასახადის შეღავათი ხელფასზე,ეს იცით რამდენს ნიშნავს? 5 არასრულწლოვანი შვილის შენახვა მონდომების და ძალისხმევის მიუხედავად საკმაოდ რთულია

ფინანსთა მინისტრმა, შემოსავლების მობილიზების მიზნით გამოსცა ბრძანება, რომლითაც საერთაშორისო აიტი კომპანიებს გაეზარდათ მოგების გადასახადის განაკვეთი 5 დან 10 პროცენტამდე. აღნიშნულის საფუძველზე 2022 წლის 10 დეკემბერს, ერთ-ერთ აიტი კომპანიას საგადასახადო ორგანომ ჩააბარა საგადასახადო მოთხოვნა და პარალელურად შემოსავლების სამსახურის გადაწყვეტილებით კომპანიის საბანკო ანგარიშებს დაედოთ ყადაღა. კომპანიამ, 2022 წლის 30 დეკემბერს გაასაჩივრა გადაწყვეტილება შემოსავლების სამსახურის დავების განხილვის საბჭოში და 2024 წლის 20 მარტს მიღებული უარის შემდეგ იმავე წლის 20 მაისს გაასაჩივრა ის სასამართლოში. შემოსავლების სამსახურმა მოითხოვა სარჩელის დაუშვებლად ცნობა იმ მოტივით, რომ გადაწყვეტილება ჯერ უნდა გასაჩივრებულიყო ფინანსთა სამინისტროს დავების განხილვის საბჭოში.

კაზუსიდან დგინდება , რომშემოსავლების სამსახურის გადაწყვეტილებით კომპანიას დაედო ყადაღა, საგადასახადო კოდექსის 241 მუხლის 1-ლი ნაწილით, ამის გაკეთების უფლება გააჩნია საგადასახო ორგანოს აღიარებულ საგადასახადო დავალიანებაზე, მაგრამ აქ დავალიანება არგვაქვს სახეზე. შემდეგ იკვეთება, რომ კომპანიამ, 2022 წლის 30 დეკემბერს გაასაჩივრა გადაწყვეტილება შემოსავლების სამსახურის დავების განხილვის საბჭოში, საგადასახადო კოდექსის 297-ის მე-3 ნაწილით საჩივრის განხილვა შემოსავლების სამსახურში წარდგენით იწყება და შემდეგ დავების განხილვის საბჭოში. რაც შეეხება ვადას 299-ის მე-4 ნაწილით 30 დღიანია და 10 დეკემბრიდან იწყებს ათვლას, ჩაბარებიდან. 2024 წლის 20 მარტს მიღებული უარის შემდეგ კომპანიამ 20 მაისს გაასაჩივრა სასამართლოში გადაწყვეტილება. 299 მუხლის მე-5 ნაწილით, პირს უფლება აქვს, საგადასახადო ან/და დავის განმხილველი ორგანოს მიერ გადაწყვეტილების მიღებისათვის დადგენილი ვადის დარღვევა მიიჩნიოს მისი მიმართვის დაკმაყოფილებაზე უარის თქმად და გაასაჩივროს 20 დღის ვადაში ჩაბარებიდან, დავების საბჭოში ან სასამართლოში. ხოლო ბოლო ნაწილი, სადაც შემოსავლების სამსახურმა მოითხოვა სარჩელის დაუშვებლად ცნობა იმ მოტივით, რომ გადაწყვეტილება ჯერ უნდა გასაჩივრებულიყო ფინანსთა სამინისტროს დავების განხილვის საბჭოში და მერე სასამართლოში არასწორია საგადასახადო კოდექსის 305-ე მუხლის 1-ლი ნაწილით, ანუ პირის ნებაზეა სად გაასაჩივრებს დავის განმხილველი ორგანოს გადაწყვეტილებას.

Royal Flush Developments has proposed construction of a casino-hotel-marina resort on a small island in the Pacific Northwest. The company plans to locate the development near Coral Beach, in an environmentally sensitive area that is home to a rare bird species. In the past, island residents have made their living mostly from agriculture and fishing, but in the last few years, many young people have left the island to find work elsewhere. There are a couple of restaurants and bed-and-breakfast inns for the few tourists who come during the summer to enjoy the island's beautiful beaches and peaceful laid-back atmosphere. While some residents welcome the idea of the resort, most of the people who have moved to the island to retire fear that Royal Flush's proposal will negatively impact their lifestyle. In addition, a group of residents has formed an environmental group to oppose the project. There are a lot of mixed feelings toward the development, and it has caused a major controversy among the island's 4,000 residents.
In my opinion, this is an interesting process in the construction of this hotel because we believe that the hotel will not have many competitors and the advantage if it will be the main one will continue. გარდა ამისა სამოქალაქო ურთიერთობებში ინტენსიურად მონაწილეობენ იურიდიული პირები. ისინი მესამე პირებთან ურთიერთობაში მონაწილეობენ მათი წარმომადგენელის მეშვეობით. იურიდიული პირის წარმომადგენლობას ახორციელებს მისი ხელმძღვანელი, რომელსაც თანამდებობაზე ნიშნავს ან ათავისუფლებს პრეზიდენტი ან სახელმწიფო ორგანო. ხოლო წევრობაზე დაფუძნებული იურიდიული პირის შემთხვევაში ხელმძღვანელს თანამდებობაზე ნიშნავს ან ათავისუფლებს საერთო კრება. საჯ.სამ. იურიდიულ პირს აქვს სპეციალური უფლებაუნარიანობა, რაც იმას ნიშნავს რომ იგი უფლება მოსილია ანახორციელოს კანონით დადგენილი, ან ბრძანებულებით ან კიდევ მისივე წესდებით გათვალისწინებული საქმიანობა და უფლებამოსილების შემოწმებაც ნოტარიუსის მიერ დასახელებული დოკუმენტის საფუძველზე უნდა მოხდეს. ნოტარიუსმა უნდა დაიცვას მკაცრად შემდეგი, რომ საჯ.სამ იურიდიულ პირს რომელიც შექმნილია სახელმწფო ქონებაზე არ აქვს უფლება დადოს გარიგება მის მაკონტროლებელი ორგანოს თანხმობის გარეშე, აიღოს სესხი ან სხვა რაიმე.
კერძო სამართლის სამეწარმეო (კომერციული) იურიდიული პირების წარმომადგენლობს დადგენისას და მათი უფლებამოსლების განსაზღვრისას, ასევე სოლიდარული პასუხსმგებლობის საზოადოებაში ხელმძღვანელობის უფლებამოსილების დადგენისათვის ნოტარიუსის მიერ უნდა მოხდეს სარეისტრაციო განაცხადის საჯარო რეესტრიდან ამონაწერით. შპს საზოადოებაში, სს-ში, და კოოპერატივში ხელმძღვანელობას განახორციელებს, დირექტორი. სარეგისტრაციო განაცხადში აუცილებელია, აღინიშნოს ხელმძღვანელის (დირეტორის) სახელი და გვარი, რაც რეგისტრირებული უნდა იყოს საჯარო რეესტრში.
ნოტარიუსის მიერ საწარმოს ხელმძღვანელობის ვინაობის დადგენა ასევე გულისხმობს, ამ იურიდიული პირის წარმომადგენლობის დადგენასაც. ხელმძღვანელობის უფლება გულისხმობს წარმომადგენლობის უფლებამოსილებასაც მაგრამ , ხელმძღვანელობის უფლება გულისხმობს საწარმოს სახელით გადაწყვეტილების მიღებას უფლებამოსილების ფარგლებში. ხოლო წარმომადგენლობითი უფლებამოსილება კი, მის მესამე პირებთან ურთიერთობას განსაზღვრავს, მა; დადოს გარიგებები ან მოითხოვოს სსანოტარო მოქმედებების შესრულება. აქედან გამომდინარე ნოტარიუსი ვალდებულია მოთოვოს იურიდიული პირის წარმომადგენლის უფლებამოსილების შემდეგი დამადასტურებელი დოკუმენტები: რეზიდენტი იურიდიული პირისი წარმომადგენლის ან პროკურისტის წარმომადგენლობის შემთხვევაში; ამონაწერი მეწარმეთა და არასამეწარმეო იურიდიული პირების მარეგისტრირებელი ორგგანოს მიერ, წარმოებული რეესტრიდან; არარეზიდენტი იურიდიული პირისაან, უცხო ქვეყნის შესაბამისი ორგანოს მიერ გაცემული და კანონმდებლობით დადგენილი წესით ლეგალიზებული ან აპოსტოლიით დამოწმებული წარმომადგენლობის შესაბამისი დოკუმენტი; რეზიდენტი იურიდიული პირის მიერ გაცემული მინდობილობა.

ნოტარიუსთა პალატა
პალატა არის პირთა წევრობაზე დაფუძნებული,კანონის საფუძველზე შექმნილი საჯარო სამართლის იურიდიული პირი, რომელიც სახელმწიფო კონტროლით, დამოუკიდებლად ახორციელებს სახელმწიფოებრივ საქმიანობას.
საქართველოს ნოტარიუსთა პალატა შედგება მასში საცვვალდებულო წესით გაწევრიანებული ყველა ნოტარიუსისგან , ის თავის საქმიანობას ახორციელებს საქართველოს ნოტარიუსთა საერთო კრების და მის მიერ შექმნილი თვითმართველობის ორგანოების მეშვეობით,საქართველოს ნოტარიუსთა პალატის მმართველობის ორგანოებია:
1) საქართველოს ნოტარიუსთა პალატის წევრთა საერთო კრება
2) საქართველოს ნოტარიუსთა პალატის გამგეობა,(აღმასრულებელი ორგანო)
საქართველოს ნოტარიუსთა პალატაში იქმნება ორი კომისია:ნოტარიუსთა პალატის საფინანსო-სარევიზიო კომისია და ეთიკის კომისია (დისციპლინური პასუხისმგებლობა).
საერთო კრება, ნოტარიუსთა პალატის მმართველობის უმაღლესი ორგანოა.საერთო კრება გადაწყვეტს რიგ საკითხებს და არის ისეთი საკითხებიც მხოლოდამხოლოდ საერთო კრებით გადაწყდება. საერთო კრება ხმათა უმრავლებოსით და პლიუს ამას 2/3 აუცილებლად უნდა იყოს. და თუ პირი ვერ მივა ვალდებულია, რომ მინდობილობა წარადგინოს,წარმომადგენლობის უფლებამოსილ პირზე.წარმომადგენელი უნდა იყოს არა ნებისმიერი პირი, არამედ ისევ ნოტარიუსთა წვერი.საერთო კრება წელიწადში ერთხელ უნდა ჩატარდეს.
რაც შეეხება პალატის გამეგობა,ეს არის აღმასრულებელი ორგანო; გამგეობა შედგება რამდენიმე ნოტარიუსისგან ,9 წევრისგან შედგება , ზოგი წევრი უნდა იყოს თბილისიდან , ზოგი კი რეგიონიდან.
დისციპლინური პასუხისმგებლობის კომისია-
საფინანსო სარევიზიციო კომისიის ძირითადი უფლებამოსილებაა, გააკონტროლოს საქართველოს ნოტარიუსთა პალატის გამგეობის საფინანსო-საბუღალტრო საქმიანობა,საჯარო აღრიცხვიანობის კანონიერება.
რაც შეეხება სახელმწიფო მხრიდან კონტროლს: ეს ორ შემთხვევაში ხდება
1) ეს არის სავალდებულო
2) არის უკვე საფუძნებული მოქალაქის განცხადებაზე სავალდებულო პირდაპირ არის გაწერილი როდის ხდება( შემოწმება გულისხმობს) პროგრამის შემოქმებას, ნოტარიუსის მიერ განხორციელებულ სამართლებრივი აქტების.

მოცემული შემთხვევიდან გამომდინარე შემოსავლების სამსახურმა განახორციელა საგადაასახადო შემოწმება, რომელიც საგადასახადო კოდექსის 262_ე მუხლის მიხედვით ადგენსს საგადასახადო შემოწმების ორ ფორმას ეს არის კამერალური და გასვლითი შემოწმება.
მოცემულ კაზუსში საგადასახადო შემოწმების შედეგად პირს დაეკისრა 20000 ლარი გადასახადი და 10000 ლარი ჯარიმა, რის პარალელურადაც მის ქონებას დაედო ყადაღა, რომელიც ერთგვარი გაადახდის უზრუნველყოფის ღონისძიებაა და გათვალისწინებულია საგადასახადო კოდექსის 238_ე მუხლით. ამ ეტაპამდე ყველა განხორციელებული ქმედება კანონიერია თუმცაღა გვაქვს მეორე გარემოება, როდესაც ყოველ ვადაგადაცილებულ დღეზე 30000 ლარზე ხდება საურავის დადება, რაც არ არის კანონიერი, რადგანაც საგადასახადო კოდექსის 272_ ე მუხლის მეორე ნაწილის თანახმად ცნობილია რომ საურავის დარიცხვა ხდება ძირ თანხაზე ამ შემთხვევაში ძირი თანხა გვაქვს 20000 და 10000 არის ჯარიმა რომელიც ჯამში შეადგენს 20000+10000 სრულ თანხას ანუ 30000 ლარს რაც არაკაონიერია რადგანაც საურავიი იგივე interest(პროცენტი) ყოველ ვადა გადაცილებულ დღეზე ირიცხება მხოლოდ ძირ თანხაზე რომელიც შეადგენს 0,05 პროცენტს.
